By accessing or using our services, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

  • “User”, “Client”, “You” refers to any individual or business entity using our services.
  • “Services” means WhatsApp API messaging, RCS messaging, dashboards, analytics, integrations, and related tools.
  • “Meta” refers to Meta Platforms Inc., including WhatsApp.
  • “RCS” refers to Rich Communication Services provided through telecom operators.
  • “Content” includes text, images, videos, templates, and message payloads.

3. Acceptance of Terms

By registering, accessing, or using any service offered by Important Updates, you confirm that:

  • You have read, understood, and accepted these Terms
  • You have legal authority to bind your business
  • You agree to comply with all applicable Indian laws, Meta policies, and telecom regulations

Continued use constitutes ongoing acceptance.

4. Description of Services

Important Updates provides messaging infrastructure and communication services, including:

  • WhatsApp Business API onboarding & messaging
  • RCS messaging services
  • Template creation & approval assistance
  • Message delivery analytics
  • Customer engagement automation
  • Compliance monitoring & policy enforcement

We act solely as a technology facilitator and do not control message recipients or guarantee delivery.

5. Eligibility

To use our services, you must:

  • Be at least 18 years old
  • Be legally permitted to operate a business in India
  • Have valid authorization to communicate with end users
  • Ensure lawful collection of customer data and consent

We reserve the right to refuse service to any user violating eligibility requirements.

6. Account Registration

Users must provide accurate, complete, and up-to-date information during registration.

You are responsible for:

  • Maintaining account confidentiality
  • All activities under your account
  • Immediately reporting unauthorized access

We may suspend or terminate accounts found to contain false or misleading information.

7. User Responsibilities

You agree not to:

  • Use purchased or scraped contact lists
  • Transmit unlawful, offensive, or harmful content
  • Impersonate any individual or entity

You are solely responsible for message content and recipient consent.

8. Payment & Billing Terms

  • Fees are charged as per agreed plans or usage
  • Payments are non-refundable unless stated otherwise
  • Late payments may result in service suspension
  • Taxes are applicable as per Indian law

Important Updates reserves the right to revise pricing with prior notice.

9. Subscription Renewal & Termination

Subscriptions may be recurring unless cancelled.

We may suspend or terminate services if:

  • Policies are violated
  • Payments remain overdue
  • Required compliance documents are not provided

Termination does not waive outstanding dues.

10. Use of WhatsApp Official API & RCS

Users must strictly comply with:

  • WhatsApp Business Messaging Policy
  • Meta Commerce & Data Policy
  • Telecom Regulatory Authority of India (TRAI) guidelines

Message templates require prior approval and may be rejected without explanation.

11. Message Delivery & Compliance Policy

Message delivery depends on:

  • User device availability
  • Network conditions
  • Platform restrictions

Important Updates does not guarantee delivery and is not liable for delays or failures.

12. Intellectual Property Rights

All platform technology, software, trademarks, and materials belong to Important Updates or its licensors.

Users retain ownership of their content but grant us a limited license to process it for service delivery.

13. Confidentiality

Both parties agree to keep confidential information secure and undisclosed unless required by law.

14. Disclaimer of Warranties

Services are provided “as is” and “as available” without warranties of any kind.

We do not guarantee uninterrupted, error-free, or secure service.

15. Limitation of Liability

To the maximum extent permitted by law, Important Updates shall not be liable for:

  • Indirect or consequential damages
  • Loss of business or data
  • Regulatory penalties imposed on users

Our total liability shall not exceed fees paid in the preceding 3 months.

16. Indemnification

You agree to indemnify Important Updates against claims arising from:

  • Illegal content
  • Consent violations
  • Policy breaches

17. Governing Law (India)

These Terms are governed by the laws of India. Courts in Pune, Maharashtra shall have exclusive jurisdiction.
